Welcome to Evergreen Residential Management, LLC (together with its subsidiaries, affiliates and related entities, as applicable, “Evergreen Residential Management”, “Evergreen Live”, “we”, “us”, “our”), a property management company specializing in single-family homes. These Terms and Conditions (“Terms”) govern your (sometimes referred to as “User,” “you,” or “your”) use of Evergreen Live’s services, including, but not limited to, this website (and the content contained herein) and any related applications (collectively referred to as the “Platform”). Please read these Terms carefully as they act as a legally binding agreement between you and Evergreen Live concerning your use of the Platform and/or other services to locate a property, access a property, submit a rental application, use other services related to a property or use other goods or services offered by us from time to time. ADDITIONALLY, THESE TERMS CONTAIN AN ARBITRATION PROVISION WHICH REQUIRES THAT ALL CLAIMS BE RESOLVED BY BINDING ARBITRATION. By accessing or using the Platform in any way (including, but not limited to, accessing the Platform, creating, registering or accessing an account, interacting with the Platform and/or downloading or uploading any content to the Platform) you agree to comply with, and be bound by, the Terms. If you do not agree to be bound by the Terms, please do not access or use the Platform and exit the Platform immediately.

1. General Terms
   1. Modification of Terms: Evergreen Live reserves the right, at its sole discretion, to modify, change, update or add or remove portions of these Terms at any time and you agree to review these Terms periodically for any such changes; however Evergreen Live does not undertake any obligation to modify the Terms. Any such changes or modifications will be effective upon posting to the Platform. Your continued use of the Platform after any such modifications constitutes your acceptance of the revised Terms and you hereby waive your right to receive specific notice of any such modifications. 
   2. Modification of the Platform: There may be information on the Platform that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the Platform at any time, without prior notice, however Evergreen Live does not undertake any obligation to modify the Platform. We will not be liable to you or any third party for any modification (or lack of modification) of the Platform.
   3. Access/Continuance of Platform: You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Platform during any downtime, suspension or discontinuance of the Platform. Nothing in these Terms will be construed to obligate us to maintain and support the Platform or to supply any corrections, updates, or releases in connection therewith.
2. Use of the Platform
   1. Purpose: Evergreen Live provides the Platform for prospective residents to search for available homes, apply for homes, and learn about and access our services and for current residents to access their resident portal to make rental payments and submit service requests (among other items). The Platform’s purpose is to facilitate efficient communication and streamline transactions between Evergreen Live and its users. Using the Platform for any other reason is prohibited. 
   2. Eligibility: By using the Platform, you represent to us that you have reached the age of majority in the jurisdiction where you reside, are an emancipated minor under the laws of your jurisdiction of domicile and/or residence, possess legal parental or guardian consent or otherwise have the power and authority to enter into and perform your obligations under these Terms.
   3. Account Registration: To access certain features of the Platform, you may be required to create an account which will require providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You represent to us that all information provided by you is truthful, accurate and complete. Evergreen Live reserves the right to terminate or suspend your account at any time for any reason (or no reason), including if you violate these Terms or engage in fraudulent or unauthorized activities.
   4. User Content: By submitting any content to the Platform (“Your Content”), including but not limited to reviews, feedback, survey responses, photographs, descriptions, comments and/or maintenance requests, you grant Evergreen Live a limited, non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, disseminate, modify, adapt, exploit (commercially or otherwise), sell, edit, create derivative works and compilations, publish, translate, distribute and/or display Your Content without any acknowledgement and/or compensation to you. You represent and warrant that you have the necessary rights to grant this license and that Your Content does not infringe upon any third-party rights. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in Your Content.
   5. Prohibited Conduct: You agree not to engage in any of the following prohibited activities while using the Platform:
      1. Violating any applicable laws or regulations;
      2. Interfering with or disrupting the Platform’s functionality in any manner;
      3. Distributing or posting spam, chain letters, pyramid schemes or similar communications;
      4. Contacting other users of the Platform through unsolicited electronic communication, telephone, mailing or any other communication method;
      5. Impersonating any person or entity or falsely representing your affiliation with any person or entity;
      6. Uploading, posting, storing or transmitting any content that is unlawful, obscene, abusive, pornographic, malicious, hateful, harassing, criminal, libelous, vulgar, defamatory, invasive of a third-party’s privacy, offensive, or violates any third-party rights (including, without limitation, copyright, trademark, trade secret, patent or other intellectual property right) or is otherwise objectionable (as determined by Evergreen Live in its sole discretion);
      7. Engaging in any unauthorized use of the Platform, including unauthorized access to any account, restricted area of the Platform, computer network or equipment or data;
      8. Collecting, scraping or harvesting any information from the Platform by any means (including by the use of any manual or automated software such as spiders, robots, avatars, intelligence agents or any other non-normal browser extraction or navigation search); and
      9. Introducing any malicious software or code that may harm the Platform or other users.
3. Rental Services
   1. Property Listings: Evergreen Live provides a platform for browsing and renting single-family homes. Property listings displayed on the Platform are for informational purposes only and do not constitute a binding offer or guarantee of availability or a guarantee of any terms related thereto.
   2. Application Process: To apply for a rental property, you must submit a complete application through the Platform. Applying through the Platform is the only way to apply for a rental property managed by Evergreen Live. 
   3. Rental Agreement: If your application is accepted, you will enter into a rental agreement with Evergreen Live. The terms and conditions of the rental agreement, including rent amount, lease duration, and other provisions, will be specified in the rental agreement. Only the terms and conditions contained in such rental agreement will be binding. 
   4. Third Parties
      1. Certain services offered (or actions performed) through our Platform are actually offered by third parties. Such services may identify the third party or redirect you to such third party’s website or service. In those situations, the relevant third party will have access to data collected as part of the services rendered, and you are asked to review the terms and conditions of use and the privacy policy of the relevant third party before using the services. It is expected that such third party service providers may share the information they collected with us. We will not be liable for any damage or any other liability caused by a third-party site (even if one or more pages of the third-party site are framed within or linked to our Platform). We do not endorse or make any representations or warranties of any kind regarding any third-party site.
4. Payments and Other Requests
   1. Our website may provide a portal for you to pay rent, submit maintenance requests and take other actions. By using these services, you agree to provide accurate and up-to-date information and comply with any applicable payment terms and maintenance request procedures. Evergreen Live will make reasonable efforts to process (or caused to be processed) rent payments and address (or cause to be addressed) maintenance requests promptly. However, we do not guarantee immediate processing or resolution and shall not be liable for any delays or damages resulting from such delays.
5. Limitation of Liability, No Warranties and Indemnification
   1. LIMITATION OF LIABILITY: IN NO EVENT SHALL EVERGREEN LIVE OR ITS AFFILIATES OR ITS AND THEIR OFFICERS, MANAGERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONSULTANTS, ADVISORS OR AGENTS (COLLECTIVELY, THE “EVERGREEN LIVE PARTIES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ITS CONTENT, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), EQUITY OR OTHERWISE. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF EVERGREEN LIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY IN THE EVENT OF ANY DEFICIENCY OR ERROR SHALL BE TO REQUEST THAT EVERGREEN LIVE CORRECT THE MATTER OR FOR YOU TO CEASE YOUR USE OF THE PLATFORM.
   2. NO WARRANTY: EVERGREEN LIVE MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE INFORMATION PROVIDED ON THE PLATFORM. WE DISCLAIM ANY LIABILITY FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN CONTENT PROVIDED ON THE PLATFORM. ALL USE OF THE PLATFORM IS AT YOUR RISK. EVERGREEN LIVE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 
   3. RELEASE: You hereby release Evergreen Live and each Evergreen Live Party from any and all liability from any and all claims and demands you may assert against them or any third party in relation to the Platform or any service that we provide. 
   4. INDEMNIFICATION: YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS EACH OF THE EVERGREEN LIVE PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES OR EXPENSES, INCLUDING ATTORNEYS’ FEES AND COSTS AND EXPENSES, WHETHER FIRST OR THRID PARTY, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (A) YOUR ACCESS TO OR USE OF THE PLATFORM OR ANY PART THEREOF, (B) A BREACH OR ALLEGED BREACH BY YOU OF ANY OF YOUR REPRESENTATIONS, WARRANTIES, COVENANTS OR OBLIGATIONS UNDER THESE TERMS, (C) INFRINGEMENT OR MISAPPROPRIATION OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHTS OF OURS OR THIRD PARTIES BY YOU, (D) ANY NEGLIGENCE, BAD FAITH, FRAUD OR WILLFUL MISCONDUCT BY YOU, (E) ANY OTHER CLAIM RELATED TO YOUR PERFORMANCE UNDER THESE TERMS OR (F) YOUR USE OF ANY CONTENT, SERVICES OR PRODUCTS PROVIDED BY US.
   5. YOU FURTHER AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS EACH OF THE EVERGREEN LIVE PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES OR EXPENSES, INCLUDING ATTORNEYS’ FEES AND COSTS AND EXPENSES, WHETHER FIRST OR THRID PARTY, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (A) ANY CLAIM THAT YOUR CONTENT INFRINGES OR MISAPPROPRIATES ANY INTELLECTUAL PROPERTY OR OTHER RIGHTS OF OURS OR THIRD PARTIES, (B) OUR USE OF YOUR CONTENT, AND (C) ANY CLAIM BROUGHT BY A THIRD PARTY AGAINST US RELATING TO YOUR CONTENT.
6. Intellectual Property
   1. Ownership: All intellectual property rights in the Platform and its contents, including but not limited to, all source code, databases, functionality, software, designs, audio, video, text, photographs, graphics, trademarks, service marks, logos, patents, copyrights, and all other proprietary rights are owned by Evergreen Live or its licensors. Except as expressly provided in these Terms, no part of the Platform may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. Unauthorized use of the Platform’s content may violate copyright, trademark, and other applicable laws. 
   2. Limited License: Evergreen Live grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Platform for its intended purposes. This license does not permit any commercial use or distribution of the Platform or its contents without our prior written consent. We reserve all rights not expressly granted to you in and to the Platform. 
7. Privacy and Data Protection
   1. Data Collection and Use: Your use of the Platform is subject to Evergreen Live’s Privacy Policy, which outlines how your personal information is collected, used, and protected. By using the Platform, you consent to the collection, processing, and use of your information as described in the Privacy Policy. For more information, please review our Privacy Policy separately.
   2. Cookies and Tracking Technologies: The Platform may use cookies and similar tracking technologies to enhance user experience and gather information about user preferences. You can manage your cookie preferences through your browser settings.
8. Governing Law and Dispute Resolution
   1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflicts or choice of laws principles.
9. Dispute Resolution: 
   1. BINDING ARBITRATION: All disputes arising out of, or relating to, these Terms or our operation of the Platform or the services we provide shall be resolved by final and binding arbitration to be held in Dallas County, Texas, pursuant to the commercial arbitration rules of the American Arbitration Association.  The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including, but not limited to, any claim that all or any part, of these Terms are void or voidable.  Any arbitration must be conducted on an individual basis and not be consolidated in any arbitration with any claim or controversy of any other party. Without prejudice to the agreement to resolve disputes in binding arbitration set forth above, either party to these Terms may obtain preliminary injunctive relief in an appropriate court located in Dallas County, Texas for the purpose of enforcing any of these Terms pending a final determination in arbitration or permanent relief for the purpose of enforcing any award resulting from arbitration.
   2. Equitable Relief: You agree that a breach of any of the provisions of these Terms would cause irreparable harm and significant injury to Evergreen Live which would be both difficult to ascertain and which would not be compensable by damages alone.  As such, you agree that Evergreen Live shall have the right to enforce the provisions of these Terms by injunction (without necessity of posting bond), specific performance or other equitable relief without prejudice to any other rights and remedies we may have for your breach of these Terms.
   3. Limitation of Claims: Any claim or cause of action arising out of these Terms must be brought and filed within one year after such claim or cause of action arose, or else that claim or cause of action is forever barred. 
10. Fair Housing/Equal Housing Opportunity
    1. Evergreen Live, as an Equal Housing Opportunity company, upholds and complies with the Fair Housing Act and other applicable federal, state, and local laws against housing discrimination. Our commitment to fair housing means that Evergreen Live, along with all our affiliated entities and employees, operates in accordance with the law, including the Fair Housing Act, which prohibits discrimination based on race/color, national origin, religion, sex, familial status, handicap (or disability) and any other characteristics described under the Fair Housing Act or similar state or local laws. In addition to federal protections, Evergreen Live also respects and abides by additional fair housing laws and protected classes in various states and local jurisdictions where we operate.
    2. We want to emphasize that all rental properties featured on our Platform are subject to the federal Fair Housing Act and relevant state and local laws that ensure fair housing practices. Evergreen Live is unwavering in our dedication to preventing and addressing any form of discriminatory conduct in the rental of our properties. We are committed to compliance with applicable laws, and we will not knowingly permit or tolerate any discriminatory behavior that violates such laws.
    3. Should you encounter any concerns or complaints regarding discriminatory practices in housing, we encourage you to file a complaint with the local office of the U.S. Department of Housing and Urban Development (“HUD”). 
11. Platform Management
    1. We reserve the right, but not the obligation, to: (1) monitor the Platform for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of Your Content or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Platform or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Platform in a manner designed to protect our rights and property and to facilitate the proper functioning of the Platform.
12. Miscellaneous
    1. Severability
       1. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
    2. Headings
       1. The headings in these Terms are used solely for the convenience and have no legal or contractual significance.
    3. Assignment
       1. Evergreen Live may assign these Terms, in whole or in part, at any time with or without notice to you. You may not assign these Terms and any effort to do so is hereby rendered null and void.
    4. No Waiver
       1. A failure to act by Evergreen Live with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
    5. Entire Agreement
       1. Except as expressly stated herein, these Terms and the Privacy Policy represent the entire agreement between you and Evergreen Live with respect to the Platform and supersede all prior or contemporaneous communications of any kind between you and Evergreen Live with respect to the Platform.
    6. Mobile Devices
       1. Your contract with your cellular network provider (“Cellular Provider”) will continue to apply when accessing or using the Platform on your mobile device (“Mobile Device”). You understand that your Cellular Provider may charge you fees for your use of its network connection services while accessing or using the Platform, for data downloading, e-mail, text messages, for roaming, and other Cellular Provider or third party charges. YOU ACCEPT RESPONSIBILITY FOR ALL CELLULAR PROVIDER FEES. 
    7. Foreign Jurisdictions
       1. We make no representation that the Platform or other material or information on the Platform is appropriate to or available in locations outside of the United States. If you access the Platform from outside of the United States, you are responsible for compliance with all applicable laws.
       2. If you access the Platform from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Platform, you are transferring your data to the United States, and you agree to have your data transferred to and processed in the United States.
13. Contact Us & Communication
    1. Our website provides a “Contact Us” form for you to submit inquiries and questions. We will make reasonable efforts to respond to your inquiries in a timely manner.
    2. By using the Platform or providing us with your contact information, you consent to receive communication from Evergreen Live, including but not limited to email, phone calls, and SMS messages, regarding your inquiries, property information, and other related matters. 
    3. Visiting or otherwise interacting or using the Platform, sending us emails or messages through the Platform, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Platform, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE PLATFORM. You hereby waive, to the fullest extent permitted by applicable law, any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

Privacy Policy

At Evergreen Live we value your privacy. We have created this privacy policy (the “Privacy Policy”) so that you know how Evergreen Live uses, collects, and shares your personal information. This Privacy Policy applies to all elements of the Platform. 

1. 1. Modifications: Evergreen Live reserves the right, at its sole discretion, to modify, change, or update or add or remove portions of this Privacy Policy at any time and you agree to review this Privacy Policy periodically for any such changes; however Evergreen Live does not undertake any obligation to modify this Privacy Policy. Any such changes or modifications will be effective upon posting to the Platform, unless otherwise specified. Your continued use of the Platform after any such modifications constitutes your acceptance of the revised Privacy Policy and you hereby waive your right to receive specific notice of any such modifications. If and to the extent required by applicable law, we will obtain your consent to any such changes. 
   2. Platform Collected Information: 
      1. When you interact with the Platform, we receive and record or log information about your web browser automatically. Additionally, we may receive and record information related to your type of browser, location, time spent on the Platform, IP address, device or application you are using to access the Platform among other information (collectively, the “Platform Data”). We may use Platform Data for analytics purposes and/or other purposes, including providing Platform administration and enhancements. 
      2. Cookies and Tracking Technologies: To collect Platform Data, we (and/or, if applicable, our advertisers) may use cookies and similar tracking technologies to interact with the device you use to access the Platform. We (and/or, if applicable, our advertisers or service providers) may also use “web beacons” or similar technology on the Platform. You, at any time, may revise your web browser settings if you do not wish to receive web beacons or cookies. However, blocking such may result in you losing the ability to access some features of the Platform or otherwise may lead to a decrease in efficiency in interacting with the Platform.
      3. Third-Party Websites: It is your responsibility to review the privacy policy of any third-party websites as our Privacy Policy will not apply to such websites.  In those situations, the relevant third party will have access to data collected as part of the services rendered, and you are asked to review the terms and conditions of use and the privacy policy of the relevant third party before using the services. It is expected that such third party service providers may share the information they collected with us. We will not be liable for any damage or any other liability caused by a third-party site (even if one or more pages of the third-party site are framed within or linked to our Platform). We do not endorse or make any representations or warranties of any kind regarding any third-party site.
   3. Consumer Information: 
      1. By submitting an application, you authorize Evergreen Live and its service provider(s) to conduct and obtain background and credit checks and other background screening information about you from third parties (“Your Consumer Information”) as part of the application evaluation process and for other legitimate business purposes, in all cases, subject to applicable law. You also hereby authorize Evergreen Live and its service provider(s) to obtain Your Consumer Information if you have a lease agreement with (or reside in a property managed by) Evergreen Live for a legitimate business purpose and we may share and/or use Your Consumer Information with our affiliates for marketing and other business purposes.
      2. Additionally, we may use the information provided on your rental application or any other communication with us (“Application Information”) for internal purposes and to communicate to you: (i) in relation to your application, (ii) in relation to your residency at one of our properties and (iii) commercial information. Your Application Information and contact details may also be shared with our affiliates.
   4. Experience Information: If you become a resident at one of the properties managed by Evergreen Live, we will collect information about you, including your rental payment amount and history, our experience with you as a resident and other similar information (“Experience Information” and, together with your Platform Data, Application Information and Your Consumer Information, “Your Information”). We may use and share Experience Information with our affiliates for internal or external analytics and marking and may use such information for other business purposes.
   5. Aggregated Data: In addition to any other uses described in this Privacy Policy, we may extract and process Your Information for the purpose of creating anonymized or aggregated data (i.e., such data will not be personally identifying). We may disclose such data to any third party for any purpose. 
   6. Do Note Sell/Other Usage: We do not sell, trade, or rent Your Information to non-affiliated third parties, but may disclose your information (including Your Information) to non-affiliated third parties that provide services to us, have a business relationship with us, to fulfill a transaction you have requested or with your consent. These parties may include, but are not limited to, applicant screening providers, consumer reporting companies, payment processing providers, lawyers, auditors, accountants, property vendors, data analytics providers, ISPs, marketing and advertising networks. 
   7. Owner: Notwithstanding anything in this Privacy Policy to the contrary, we may share any and all of your information (including Your Information) with the legal owner of any property in which you have applied to rent or are leasing. 
   8. Legal Disclosure: Notwithstanding anything to the contrary in this Privacy Policy, we also may disclose Your Information (or any other information) as may be requested or required by law, governmental order or any governmental authority. We may also disclose Your Information to enforce any agreements (including your lease), protect our rights and interests, property or the safety of that or others and in connection with claims, disputes or litigation. We may also disclose Your Information to protect the Platform, our service providers, our business partners and others from fraudulent, abusive, unlawful or otherwise improper use of the Platform.
   9. Children’s Online Privacy Protection Rule (“COPPA”): The Platform is only intended to be used by those persons provided for in the Terms. If you are a parent of a child under the age of thirteen years old and believe such child has given us information, you can request such information be deleted. You may contact us at privacy@evergreenlive.com.
   10. Retained Data: We may retain all information collected (including Your Information) as long as required by law or as reasonably necessary to enforce or protect our rights or comply with other legal, compliance or regulatory obligations.
